Mr. Man has extensive experience in representing foreign investors in China and Chinese enterprises in overseas investment. Mr. Man's practice focuses on complex cross-border transactions involving mergers and acquisitions, strategic alliances, joint ventures and other corporate and commercial transactions. Ms. Man advises international clients on mergers and acquisitions, greenfield investments, joint ventures, corporate finance, private equity, regulatory compliance (including antitrust and FCPA investigations) and other general commercial matters in China. He also represents Chinese companies in outbound investments, acquisitions and assists them in resolving disputes in foreign jurisdictions or international arbitration courts.


Mr. Man's clients include the energy (including oil, gas, and renewable energy), technology, production, life sciences, financial services, real estate, chemicals, and service industries.


In 2011, IFLR 1000 rated Mr. Man as an "outstanding lawyer" in the field of "M&A" and "project finance" in China. Mr. Man is currently a professor of law at Peking University School of International Law (Shenzhen), where he teaches courses on cross-border transactions related to law and evidence law. He is also one of only two foreign legal advisers to the Evidence Science Research Committee of China University of Political Science and Law. The committee is entrusted by the Supreme People's Court to undertake the formulation of the Uniform Evidence Rules of the People's Courts. Mr. Man is an adjunct professor at China University of Political Science and Law (Beijing) and a member of the board of directors of Zhongguancun Hi-Tech Park Legal Services Company.


Mr. Man received his bachelor's degree from Shandong Normal University in 1981 and his master's degree from Peking University in 1984. He also received his Ph.D. from Johns Hopkins University in 1994 and his J.D. from Indiana University Bloomington School of Law in 1997. Attorney Mann is admitted to practice law in Illinois and Indiana.


Mr. Man's native language is Chinese and he is fluent in English.


Representative cases

· Texas Instruments in its acquisition of a state-owned enterprise in Chengdu, China, and the establishment of its first chip manufacturing plant (rated as M&A Deal of the Year by China Business Law Journal in April 2011).

· Represented a major national chemical company in China in its bidding for Tongyi AG and Mepha AG.

· Represented a major national oil company in China in a long-term gas purchase and transportation transaction with Gazprom.

· A major U.S. chemical company in its US$120 million acquisition of a private company in China.

· Represented a major U.S. solar company in its investment and business promotion activities in China through joint ventures and strategic alliances with Chinese partners.

Represented a consortium of Chinese companies in a real estate development project in St. Petersburg, Russia with a total initial investment of $1.25 billion.

· A major U.S. private equity fund in its US$150 million acquisition of a listed company in China.

· Represented a major state-owned oil company in China in its proposed acquisition of an oil exploration technology company. The oil exploration technology company is headquartered in Europe and operates in more than 20 jurisdictions.

· Represented a private Chinese company in its acquisition of a Dutch company listed in London. The Dutch state company owns metal minerals in Kazakhstan.

· Represented several international companies in the retail, pharmaceutical, and construction industries in administrative and criminal investigations arising from alleged violations of the U.S. Foreign Corrupt Practices Act and China's anti-bribery regulations.

· Represented a leading Chinese listed trading company in a commercial dispute with the U.S. in one of its litigations in U.S. state courts or in multiple proceedings in U.S. state courts.
